TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the website at www.darvaspro.com (the "Site"), the Darvas Bot software and related services (collectively, the "Service"), provided by Aaroh Chakravarthy - AC Enterprise LLC ("Company," "we," "us," or "our").

By accessing the Site, creating an account, purchasing a license or subscription, or using the Service, you agree to these Terms. If you join a community space we operate, you also agree to the Community Rules of Conduct, which are part of these Terms. If you do not agree, do not use the Service and do not join those spaces.

IMPORTANT: THIS IS NOT FINANCIAL ADVICE. THE SERVICE IS A SOFTWARE TOOL ONLY.

1. Description of the Service

The Service consists of software tools that implement rules-based trading strategies (including elements inspired by the Darvas Box methodology and other systematic approaches). The software can scan markets, generate alerts or signals based on predefined rules, and (if enabled by you) place orders on brokerage or exchange accounts that you own and control, using API keys you provide.

  • The software is a tool. It does not provide personalized investment advice, recommendations tailored to your circumstances, portfolio management, or discretionary trading services.
  • We do not hold, custody, or have withdrawal access to your funds. API keys you connect must have no withdrawal permissions.
  • You decide whether to connect an account you own and whether automated execution is enabled. Position size and how many names can be open follow the written rules for that sleeve and broker. You do not set a custom size on each order.
  • Any alerts, cards, or outputs generated by the software are the result of applying impersonal, written rules to market data. They are not recommendations from the Company.

We are not registered as an investment adviser, broker-dealer, commodity trading advisor, or in any other regulated capacity with the SEC, CFTC, NFA, FINRA, or any state regulator. The Service does not constitute investment advice.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. You represent that you are not prohibited from using the Service under applicable law, and that you will comply with all laws applicable to your trading activity and use of the software.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

We may suspend or terminate access for violation of these Terms, suspected fraud, or as required by law.

4. Licenses and Subscriptions

Depending on the plan you select (as described on the Site):

  • Free / Paper access: Limited access to paper/simulation features.
  • Software / Bot licenses or subscriptions: Access to the software features, which may include hosted execution options or a self-hosted license.
  • Self-hosted options (when available) are governed by the separate End User License Agreement.

Fees are as stated at the time of purchase. Subscriptions renew automatically unless canceled. All fees are non-refundable except as required by law or as we expressly state. Payments may be accepted in cryptocurrency (e.g., ETH, USDC, USDT on Ethereum mainnet) as indicated; such payments are irreversible.

5. Your Responsibilities and Risks

You are solely responsible for:

  • All trading decisions and outcomes.
  • Choosing whether automated execution is on, and monitoring your accounts.
  • Ensuring API keys are properly permissioned (no withdrawal rights) and securing them.
  • Compliance with your broker's or exchange's terms and applicable laws (including tax reporting).
  • Understanding that trading involves substantial risk of loss, including the possible loss of your entire investment or more in leveraged products.

Trading risks include but are not limited to: market volatility, slippage, gaps, liquidity issues, system failures, broker outages, incorrect configuration, software bugs, and unexpected market events. Past performance, simulations, and paper results are not indicative of future results.

You acknowledge that you use the Service at your own risk.

6. Prohibited Uses

You may not:

  • Reverse engineer, decompile, or attempt to extract source code of the software.
  • Use the Service for any illegal purpose or in violation of broker/exchange rules.
  • Share, resell, or sublicense access without authorization.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Use the Service in a way that could damage, disable, or overburden our infrastructure.

7. Community Rules of Conduct

The Company operates community spaces, including the public community Telegram channel and any official group, topic, or thread we designate. Participation in those spaces is governed by the Community Rules of Conduct published at www.darvaspro.com/community-rules (the "Community Rules").

The Community Rules are part of these Terms and are incorporated by reference. They require that discussion stay on trading. Political topics, religious topics, and advertising or solicitation for other businesses, bots, signal services, courses, or communities are not allowed.

We may remove messages, mute or remove someone from a community space, and suspend or terminate Service access for a violation of the Community Rules. If you do not agree to the Community Rules, do not join or remain in those spaces.

8. Intellectual Property

The software, Site, content, rules, and related materials are owned by the Company or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your personal or internal trading purposes, subject to these Terms and any applicable EULA.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

We do not warrant that the software will be uninterrupted, error-free, secure, or that it will generate profitable results. Simulations and hypothetical performance have inherent limitations and do not represent actual trading.

Nothing on the Site or in the Service constitutes financial, investment, tax, or legal advice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR CAPITAL, ARISING FROM YOUR USE OF THE SERVICE OR TRADING ACTIVITY, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR $100 IF NO FEES WERE PAID).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the maximum extent permitted.

11. Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your trading activity, your violation of these Terms, or your violation of any law or third-party rights.

12. Termination

We may terminate or suspend your access at any time for any reason, including breach of these Terms. Upon termination, your license to use the software ends. You remain responsible for any outstanding fees and for all activity that occurred before termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New Jersey, and you consent to personal jurisdiction there.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance. Material changes will be notified via the Site or email where practicable.
